It is via the Control, Risk and Sustainability Committee, established in 2002, that the Board of Directors exercises its control and management of corporate risks. The Committee is responsible for identifying corporate risks and submitting them to the Board of Directors, as well as implementing the guidelines of the same through planning, management and monitoring of the internal control system.
On 31st of July, 2018 the Board of Directors resolved to extend the functions of Control and Risk Committee to the sustainability matters, related to social and environmental impacts of the company’s activities provided for by decree no.254/2016 about non financial information.
Currently, the Control, Risk and Sustainability Committee consists of the following Directors:

- Michaela Castelli
The Director who chairs the Control, Risk and Sustainability Committee is Susanna Zucchelli.
Meetings of the Committee are attended by the Chairman of the Board of Statutory Auditors.
The composition, functioning, organization and activities of the Control, Risk and Sustainability Committee are governed by specific regulations approved on 24 July 2008 and amended on31st July 2018.
On 4 May 2016, the Board of Directors resolved to grant each member of the Control, Risk and Sustainability Committee a gross annual remuneration amounting to Euro 10.000, without prejudice to the application of Art. 5 Sub. 9 D.L. July 6, 2012 n. 95 and subsequent amendments and Circular no. 4 of 2015 of the Minister Madia.
