The Articles of Association is the document that defines the essential characteristics of the company and dictates the main rules of its organisation and functioning.

In the Articles of Association, the administration and control model adopted is defined along with the fundamental guidelines for the composition and division of powers of corporate offices, as well as the relations among the same. Supplementing the provisions of the law, the Articles of Association establish the criteria and procedures for identification of individuals who, at the highest level, contribute in various ways to management and control of the company.

The Articles of Association also describe shareholders' rights, how these are exercised and can be amended by a resolution of the Extraordinary Shareholders Meeting. However, should the amendments arise from changes in legislation, the Board of Directors may provide via its own resolution.
