The Organization and Management Model is a document that is part of the control infrastructure envisaged by Legislative Decree 231/2001 and constitutes, if properly supervised, an exempting circumstance of the liability of the legal person as well as an indispensable guide for all employees and collaborators, providing clear lines of conduct, control schemes and measures to ensure, as far as possible, the prevention of the commission of crimes and corrupt practices.

The Model consists of a set of principles, rules, provisions regarding the management and control of business processes.
The Group Code of Ethics is an integral part and fundamental element of the Model.

The Model, adopted since 2003 and periodically revised to incorporate organizational and process changes and new types of offenses that have gradually expanded the scope of application of Legislative Decree 231/2001, was most recently updated by resolution of the Board of Directors on February 8, 2024, as a tool for improving the Corporate Governance system.

The Supervisory Board is appointed by the Board of Directors and supervises the operation of and compliance with the organization and management model set forth in Legislative Decree 231/2001 and takes care of its updating. It also oversees compliance with the principles set forth in the Code of Ethics.
