SEA and the Group Companies have voluntarily adopted, as of 27 June 2001, a Corporate Governance Code, laying down the principles underlying pursuit of the objectives specified in the corporate mission.

SEA, as well as other Group Companies, has adopted a Corporate Governance Code which observes - as far as possible - the principles and recommendations set out in the Corporate Governance Code adopted by the Italian Stock Exchange.

As of 27 June 2001, in fact, SEA has voluntarily adopted the Corporate Governance Code, laying down the principles underlying pursuit of the objectives specified in the corporate mission, in the belief that alignment of its corporate governance with international best practice constitutes a fundamental prerequisite for the achievement of Company objectives.

The Corporate Governance Code of the Company is based on the traditional organisational model, comprising the Shareholders Meeting, Board of Directors and Board of Statutory Auditors. The statutory audit of the accounts is carried out by an independent auditing firm. Moreover, the Board of Directors has appointed three internal committees with guidance and advisory functions.
